Terms of Service

1. Who We Are

MeshChat ("MeshChat", "we", "us", "our") is a web application that unifies multiple large language models (LLMs) and other generative models (text, image, audio) in a single interface under one subscription.

No Affiliation. Meshchat AI is not affiliated with OpenAI, Google, Stability AI, or any other providers of large language models (LLMs). Instead, we utilize their official APIs to deliver the technology under an official service agreement with these companies.

2. Agreement to Terms

By accessing or using MeshChat's website or web services (collectively, the "Service"), you agree to these Terms of Use (the "Terms") and to our Privacy Policy and Refund & Cancellation Policy (together, the "Policies"). If you do not agree, do not use the Service. Your continued use after we post updated Terms constitutes acceptance of the changes (see Section 23).

Cookies & Tracking are governed by our Privacy Policy; non-essential cookies are set only with consent where required by law. We honor Global Privacy Control (GPC).

3. Eligibility & Accounts

  • (a) You must be at least 13 years old (or the minimum age required in your jurisdiction; 16 in the EEA/UK unless local law allows otherwise). If you are under the age of majority in your jurisdiction, you must have parental/guardian consent.
  • (b) Provide accurate information, keep credentials confidential, and promptly notify us of unauthorized use.
  • (c) We may refuse, suspend, or terminate access for violations of these Terms, safety or fraud risks, or where required by law.

4. Subscriptions, Billing & Trials (Web Only)

  • (a) Some features are paid (a Subscription). Pricing, currencies, taxes, and limits are shown in-Service and may vary by region.
  • (b) Auto-renewal. Subscriptions auto-renew unless cancelled before the end of the current billing period from Account > Settings > Subscription > Billing manage (one-click). We email a cancellation confirmation.
  • (c) Renewal & trial reminders. For annual plans, we send a renewal reminder at least 15 days before renewal (15-45 days where required by law). For free trials, where required we send a 3-7 day trial-end reminder.
  • (d) Price changes. Effective on your next billing cycle. For material increases we provide >=30 days' prior notice; you may cancel before the effective date. For prepaid terms, new prices apply on renewal.
  • (e) Refunds. Handled per our Refund & Cancellation Policy (web purchases only; no app-store purchases). EEA/UK consumers may have a 14-day right of withdrawal; if you request immediate access, you may be asked to consent to early performance and acknowledge loss of the withdrawal right once performance begins.
  • (f) Non-Payment & Chargebacks. If a payment attempt fails or a chargeback occurs, we may suspend/limit access immediately, degrade your account to a free tier, and take anti-fraud measures until resolved. Where permitted, we may assess a reasonable chargeback/collection fee and recover our reasonable costs. We may set-off amounts you owe us against amounts we may owe you.

5. License & Ownership

Subject to your compliance with these Terms, MeshChat grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Service for personal or internal business purposes. MeshChat and its licensors own all rights, title, and interest in and to the Service (software, interfaces, design, and databases).

6. Inputs, Outputs & IP

  • (a) Inputs: prompts, text, files, and other content you submit. Outputs: content generated by the Service for you.
  • (b) Your Inputs. You retain rights in your Inputs and grant MeshChat a worldwide, non-exclusive license to host, process, transmit, display, and create technical copies solely to operate, secure, maintain, and improve the Service (including abuse detection and logging).
  • (c) Outputs. To the extent permitted by applicable law and provider terms, you own the Outputs, and we assign to you any rights we may have in them. Outputs may be non-unique and similar to content provided to others. MeshChat does not warrant that Outputs are free of third-party rights or fit for any purpose; you are responsible for evaluating and clearing any third-party rights for your intended use.

7. Data Use for Model Training (Opt-In Only)

By default, MeshChat does not use your Inputs or Outputs to train MeshChat models. You may opt in to contribute data for training via clear controls in your account. You may withdraw your opt-in at any time (withdrawal is not retroactive). When training is enabled, we use de-identified/minimized data and exclude content where we reasonably believe third-party rights or confidentiality would be compromised. This does not affect processing necessary to operate, secure, maintain, and improve the Service as described in Section 6(b) and our Privacy Policy.

8. Acceptable Use Policy (AUP)

You agree not to:

  • (a) Violate any law or infringe intellectual property, privacy, publicity, or other rights.
  • (b) Upload malware; bypass security, usage caps, or rate limits; perform unapproved penetration testing; scrape/harvest data; or circumvent usage-based pricing.
  • (c) Reverse engineer or attempt to derive source code or model weights/architecture; build datasets from Outputs to train competing models.
  • (d) Resell, sublicense, or provide third parties with access without our consent; share accounts or exceed permitted seats/concurrent sessions.
  • (e) Generate or disseminate illegal content, exploitative/sexual content involving minors, non-consensual intimate imagery, or violent/extremist content.
  • (f) Create deepfakes or synthetic media likely to be perceived as real without clear disclosure and consent; remove/alter provenance signals, watermarks, or metadata.
  • (g) Process biometric identifiers or special-category personal data without a valid legal basis and necessary notices/consents.
  • (h) Use the Service for high-risk purposes (medical, legal, financial, safety-critical) without appropriate professional review and independent verification.
  • (i) Use Outputs as the sole basis for automated decision-making that has legal or similarly significant effects on individuals.
  • (j) Misrepresent your identity or affiliation, or use the Service in a way that would cause MeshChat to violate any provider's AUP/terms.

9. Third-Party Providers & Pass-Through Terms

The Service interoperates with providers such as OpenAI, Google, Mistral, Meta, Stability AI and others for model inference; as well as hosting, analytics, logging, and payment processors. We may share Inputs and technical data with such providers to operate the Service. Your use must comply with those providers' acceptable-use policies and terms. We may suspend or terminate access immediately if your use would cause MeshChat to violate a provider's terms, law, or regulatory obligation.

10. Service Changes, Availability & Updates

We may add, modify, or discontinue features; introduce usage caps or credit/quota systems; schedule maintenance windows; and release preview/beta features that may be unstable and subject to change. We may update the Service (patches, bug fixes, new versions) without notice and are not obligated to maintain any particular feature. If we materially reduce core functionality of your current paid plan for reasons other than security/compliance, our remedy is service credits or the right to cancel on the next renewal; no retroactive refunds (see Refund Policy Section 8).

11. Quotas, Credits & Data Retention

  • (a) We may offer credits/quotas; unused credits may expire after reasonable notice.
  • (b) We may adjust per-user or global limits for system integrity.
  • (c) The Service is not a backup or archival service. You are responsible for exporting/backing up your data. We may delete inactive data per our retention policies (see Privacy Policy).

12. Moderation & Enforcement

We may use automated and/or manual review to enforce these Terms and applicable law. We may remove content, limit functionality, or suspend/terminate access at our discretion.

13. AI Limitations; No Professional Advice

Outputs may be incomplete, inaccurate, outdated, biased, or offensive. The Service does not provide professional advice. You must validate critical information and apply human judgment. Your reliance on Outputs is at your own risk. Do not use Outputs as the sole basis for decisions with legal, financial, medical, or other material consequences (see also Section 8(i)).

14. Security & Responsible Disclosure

We implement reasonable technical and organizational measures, but no system is perfectly secure. If you discover a vulnerability, notify us at [email protected] and refrain from public disclosure until remediation. Unapproved testing that degrades or harms the Service is prohibited.

15. Copyright & IP Complaints - Global Notice-and-Takedown (incl. DMCA)

If you believe material on the Service infringes your rights, email [email protected] with: (a) your physical/electronic signature; (b) identification of the work allegedly infringed; (c) identification/location of the allegedly infringing material; (d) your contact details; (e) a good-faith statement of unauthorized use; and (f) a statement under penalty of perjury that you are authorized to act. Where applicable (e.g., DMCA), you may submit a counter-notice. Repeat infringers may be terminated pursuant to 17 U.S.C. Section 512 and applicable laws.

16. Feedback

By submitting ideas, feedback, or suggestions ("Feedback"), you grant MeshChat a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback without attribution or compensation.

17. Export & Sanctions Compliance

You represent that you are not located in, under control of, or a national/resident of any country or entity subject to embargoes or sanctions, and are not on any restricted-party list. You must comply with applicable export control and sanctions laws.

18. Taxes

Unless stated otherwise, prices are exclusive of taxes (e.g., VAT/GST). You are responsible for applicable taxes; we may collect and remit where required.

19. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE. Nothing in these Terms seeks to exclude or limit any non-waivable consumer rights under applicable law.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) MESHCHAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR BUSINESS INTERRUPTION; AND (b) MESHCHAT'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MESHCHAT FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; FOR FREE-TIER USERS, THE CAP IS USD 0. Nothing in these Terms limits liability that cannot legally be limited (e.g., death/personal injury caused by negligence, fraud, willful misconduct).

21. Indemnification

You agree to defend, indemnify, and hold harmless MeshChat and its affiliates, officers, employees, agents, and partners from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or law; or (c) your Inputs/Outputs.

22. Term & Termination

These Terms apply from your first use and continue until terminated. We may suspend or terminate access immediately for violations, legal/regulatory reasons, or risks to the Service/users. You may stop using the Service at any time. Upon termination, your right to access the Service ends; provisions that reasonably should survive will survive (see Section 30).

23. Material Changes to these Terms

For material changes to these Terms, we will provide at least 30 days' prior notice (except where immediate changes are required for legal, security, or safety reasons). If you do not agree, you may cancel before the effective date.

24. Governing Law & Dispute Resolution

Governing law: Laws of the Republic of Cyprus, excluding its conflict-of-laws rules.

Informal resolution: Before filing a claim, the parties will attempt to resolve disputes informally for 30 days after written notice.

Jurisdiction & Venue; Class-Action Waiver (where enforceable): Any unresolved dispute shall be brought exclusively in the competent courts of the Republic of Cyprus. You and MeshChat consent to the personal jurisdiction and venue of such courts. YOU AND MESHCHAT AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR REPRESENTATIVE PROCEEDING (TO THE EXTENT SUCH WAIVER IS ENFORCEABLE UNDER APPLICABLE LAW).

Carve-outs & consumer rights: Either party may seek injunctive relief for IP or misuse of confidential information in any competent court. Small claims may be brought where permitted. If you are a consumer in a jurisdiction that prohibits exclusive-jurisdiction clauses or class-action waivers, you may have the right to bring disputes in your local courts under mandatory consumer law.

25. Limitation Period

Any cause of action arising out of or related to the Service must commence within one (1) year after the claim accrues, unless a longer period is required by applicable law. For consumers in the EEA/UK, this shortened limitation period does not apply where it conflicts with mandatory consumer protection laws.

26. Miscellaneous

  • (a) Severability. If any provision is invalid, the remainder remains in effect.
  • (b) No Waiver. Failure to enforce a provision is not a waiver.
  • (c) Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in a merger, acquisition, or asset sale.
  • (d) Force Majeure. We are not liable for delays/failures due to events beyond our reasonable control.
  • (e) Language & Precedence. The controlling version is English; translations are for convenience.
  • (f) Entire Agreement & Precedence. These Terms and the Policies are the entire agreement regarding the Service and prevail over conflicting marketing/help content.
  • (g) Open-Source Notices. The Service may include components licensed under open-source licenses. See https://meshchat.ai/open-source-notices. Those licenses govern such components to the extent of any conflict with these Terms.
  • (h) No Third-Party Beneficiaries. There are no intended third-party beneficiaries to these Terms, unless expressly stated.
  • (i) No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and MeshChat.

27. Publicity (Trademarks/Logos)

We will not use your name, company name, trademarks, or logos in our marketing materials without your prior written consent (email suffices). This does not restrict factual statements required by law.

28. Electronic Communications & Notices

You consent to receive electronic communications from us via email and in-Service notices (e.g., banners, account notifications). Such communications may include legally required notices about renewals, price changes, material changes to Terms/Policies, security alerts, and other transactional information. You are responsible for keeping your email address current.
